As previously reported, we initiated the process to consummate the merger of trivago GmbH into and with trivago N.V. (the “Merger”) after having received final binding tax rulings from the German tax authorities regarding the tax neutrality to trivago GmbH, trivago N.V. and our founders of the Merger. The Merger became effective on September 7, 2017. Pursuant to the Merger, our founders exchanged all of their units of trivago GmbH remaining after the pre-IPO corporate reorganization (as defined and further described in our 2016 annual report on Form 20-F) for Class B shares of trivago N.V.
